In these general terms and conditions:
These general terms and conditions apply to all offers, quotations and agreements between Up Business and the client. Deviations from these conditions are only valid if expressly agreed in writing.
All quotations and offers from Up Business are without obligation, unless expressly stated otherwise. A quotation is valid for 30 days, unless otherwise indicated.
Up Business will execute the agreement to the best of its ability and insight. Up Business has the right to have work performed by third parties.
All prices are exclusive of VAT, unless otherwise stated. Payment must be made within 14 days of the invoice date, unless otherwise agreed.
All intellectual property rights to products, materials and advice developed by Up Business remain the property of Up Business, unless expressly agreed otherwise.
Up Business is only liable for direct damage that is the direct result of an attributable shortcoming. The liability is limited to the amount paid out by the liability insurance in the case in question.
In case of force majeure, Up Business is not obliged to fulfill any obligation. Force majeure is understood to mean any circumstance beyond the control of Up Business.
Both parties are obliged to maintain confidentiality of all confidential information they have obtained from each other in the context of their agreement.
Dutch law applies to all agreements between Up Business and the client. Disputes will be submitted to the competent court in the Netherlands.
